Provider Terms of Service

1. Introduction

These Provider Terms of Service ("Provider Terms") govern your participation as an event service provider ("Provider", "you") on the GalaCube platform ("Platform"), operated by Restless UG (haftungsbeschränkt), Luca von Oesen ("GalaCube", "we", "us"). GalaCube is a digital event concierge that connects event planners with curated service providers across categories including venues, catering, entertainment, photography, and more.

2. How It Works

When a customer submits an event request, GalaCube matches it with suitable providers based on location, availability, service category, and fit. Selected providers receive a secure, token-based link to review the event details and submit their response. Each link is unique to the provider and the specific event match. Providers are expected to review incoming matches promptly and respond within the timeframe specified in each match request.

3. Commission

GalaCube charges a success fee of 10% on the net price of confirmed bookings facilitated through the Platform. The commission applies only when a booking is confirmed and the event takes place. GalaCube will invoice the Provider after the event date. Payment terms are 14 days from invoice date. The commission is calculated on the net service price (excluding VAT). No fees are charged for responding to match requests, declining matches, or if no booking results from a match.

4. Provider Obligations

By participating on the Platform, you agree to:

  • Timely responses: Respond to event match requests within 48 hours. If you cannot respond in time, decline the match so we can find an alternative for the customer.
  • Accurate information: Keep your availability, pricing, and service descriptions up to date. Misrepresentation of capacity or services may result in removal from the Platform.
  • Professional service: Deliver the services as described in your response and agreed upon with the customer. Maintain the quality standards expected of a GalaCube-curated provider.
  • Booking confirmation: Notify GalaCube when a booking facilitated through the Platform is confirmed, so we can track the commission accurately.
  • Confidentiality: Treat customer event details shared through match requests as confidential. Do not share customer information with third parties.

5. Booking Process

After providers respond to a match, GalaCube presents the customer with a curated selection of options. The customer selects their preferred provider(s) and the booking is arranged directly between customer and provider. GalaCube facilitates the introduction and initial communication but is not a party to the service contract between customer and provider. The provider is responsible for their own terms, contracts, and payment arrangements with the customer.

6. Cancellation Policy

If you need to cancel a confirmed booking, you must notify both the customer and GalaCube as soon as possible, and no later than 72 hours before the event date. If a provider cancels a confirmed booking without adequate notice, GalaCube reserves the right to remove the provider from the Platform. Repeated cancellations or no-shows will result in permanent exclusion. No commission is due on cancelled bookings, provided the cancellation is communicated in accordance with this policy.

7. Data & Privacy

When you receive an event match, GalaCube shares limited event details with you, including event type, date, location, guest count, and relevant preferences. Customer personal data (name, email) is shared only after a match is accepted and the customer selects your service. All data processing complies with the General Data Protection Regulation (GDPR). You agree to process any personal data received through the Platform solely for the purpose of fulfilling the event service and in compliance with applicable data protection laws.

8. Liability

GalaCube acts as an intermediary connecting customers and providers. GalaCube is not a party to the service contract between customer and provider, and is not liable for the performance, quality, or outcome of services provided. The provider is solely responsible for the services they deliver. GalaCube's liability is limited to damages arising from the breach of material contractual obligations and in cases of intent or gross negligence, capped at the commission earned on the relevant booking. This limitation does not apply to damages resulting from injury to life, body, or health.

9. Changes to These Terms

GalaCube may update these Provider Terms from time to time. We will notify active providers by email at least 30 days before material changes take effect. Continued participation on the Platform after the effective date constitutes acceptance of the updated terms. If you do not agree to the changes, you may discontinue your use of the Platform at any time.

10. Termination

Either party may terminate this agreement as follows:

  • Termination by notice: Either party may terminate the agreement by providing 30 days written notice to the other party via email.
  • Immediate termination by GalaCube: GalaCube may terminate this agreement immediately if the Provider materially violates these Provider Terms, including but not limited to misrepresentation, repeated cancellations, or breach of confidentiality.
  • Immediate termination by Provider: The Provider may terminate this agreement immediately if GalaCube fails to pay outstanding commissions within 60 days of the invoice due date.
  • Pending bookings: Upon termination, all confirmed bookings that have not yet taken place will be honored by the Provider. GalaCube will continue to facilitate these bookings until completion.
  • Outstanding commissions: Any commissions owed to GalaCube for bookings confirmed prior to the termination date remain payable according to the terms set out in Section 3.
  • Profile deactivation: Following termination, the Provider's profile will be deactivated and removed from the Platform within 7 business days.

11. Governing Law and Jurisdiction

These Provider Terms are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Hamburg, Germany, insofar as legally permissible.

13. Severability

If any provision of these Provider Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
